1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you ("User," "you") and Prakash Enterprises ("Company," "we," "us," or "our"), operating the platform Instchat. By accessing or using the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Description

Instchat is a digital platform facilitating paid communications and content monetization. The platform allows users to purchase "Coins" (virtual currency) to interact with content creators. Prakash Enterprises acts as the merchant of record for all financial transactions occurring on the platform.

3. User Obligations and Conduct

You agree to use the platform only for lawful purposes. You are strictly prohibited from:

• Reverse engineering, decompiling, or disassembling any aspect of the platform.
• Using automated scripts, bots, or scrapers to access the service.
• Engaging in fraudulent chargebacks or payment manipulation.
• Harassing, abusing, or threatening other users or company staff.
• Uploading illegal, infringing, or harmful content.

4. Intellectual Property Rights

The Instchat platform, including its source code, design, logos, trademarks, and content, is the exclusive property of Prakash Enterprises. Users are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms. No rights are granted to copy, modify, or distribute any proprietary content.

5. Payment Terms & Virtual Currency

• Coin Purchase: "Coins" are a limited license to access digital features and have no monetary value outside the platform.
• Non-Refundable: All coin purchases are final and non-refundable, except provided by law.
• Platform Fees: We deduct a service fee of 12% on transactions to cover operational costs.
• Taxes: Users are responsible for reporting and paying any applicable taxes on their earnings.

6. Limitation of Liability

To the maximum extent permitted by law, Prakash Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of:

• Your access to or use of the service.
• Any conduct or content of any third party on the service.
• Any unauthorized access, use, or alteration of your transmissions or content.

7. Indemnification

You agree to defend, indemnify, and hold harmless Prakash Enterprises, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of and access to the Service.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including copyright or privacy right.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and defined following the laws of India. Prakash Enterprises and you irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms. Any disputes shall first be attempted to be resolved through informal negotiation for at least thirty (30) days.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
